The rules for using Gradify Labs' blockchain credential platform — in plain language.

Welcome to Gradify Labs LLP. These Terms & Conditions form a legally binding agreement between you and Gradify and set out the rights and responsibilities that apply when you use our blockchain-based academic credential platform.

Please read them carefully alongside our Privacy Policy, which is incorporated into these Terms. They are governed by Indian law, including the Information Technology Act, 2000.

Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Gradify Labs LLP ("Gradify", "we", "us", or "our"), a limited liability partnership incorporated under the laws of India, and govern your access to and use of Gradify's websites, applications, software, platforms, APIs, blockchain-based credential infrastructure, verification services, and related products and services (collectively, the "Service").

By accessing, registering for, subscribing to, or otherwise using any portion of the Service, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, together with ourPrivacy Policy, and any additional terms, policies, service-specific conditions, order forms, agreements, or documentation expressly incorporated by reference into these Terms.

If you access or use the Service on behalf of an educational institution, university, government authority, company, organization, or other legal entity, you represent and warrant that you have the requisite authority to act on behalf of and legally bind such entity to these Terms. In such circumstances, references to "you" or "your" shall include both you and the entity you represent.

If you do not agree to these Terms, you must not access, register for, or use the Service. Your continued access or use of the Service following any modification to these Terms shall constitute your acceptance of the revised Terms to the extent permitted by applicable law.

Eligibility

The Service is intended for individuals and legal entities that are legally capable of entering into binding agreements under applicable law. By using the Service, you represent and warrant that the information provided by you is accurate, complete, current, and not misleading, and that you have the legal capacity and authority necessary to accept and comply with these Terms.

If you are accessing or using the Service on behalf of an institution, university, educational organization, government body, company, or other entity, you represent and warrant that you are duly authorized to access the Service and to bind such entity to these Terms. You shall remain responsible for ensuring that all individuals acting on behalf of such entity are appropriately authorized to do so.

You must not use the Service where such use is prohibited by applicable law, regulation, contractual obligation, or an order of a competent governmental or judicial authority. Gradify reserves the right to refuse, restrict, suspend, or terminate access where it reasonably believes that eligibility requirements have not been satisfied or that the Service is being used unlawfully or contrary to these Terms.

The Service

Gradify provides a technology platform designed to enable authorized institutions and users to issue, manage, store, share, and verify academic, professional, institutional, and other digital credentials using blockchain and related technologies. Depending on the applicable Service, Gradify may provide credential issuance interfaces, verification portals, QR-based verification, credential management functionality, application programming interfaces, dashboards, analytics, and other associated technical capabilities.

Gradify acts as a technology and infrastructure provider and does not independently determine, certify, authenticate, approve, or guarantee the academic, professional, legal, or substantive validity of any credential issued through the Service. The institution, organization, authority, or other party issuing a credential is solely responsible for the accuracy, completeness, legality, authenticity, authorization, and underlying source of the information contained in such credential.

Gradify does not represent or warrant that any credential issued through the Service will be accepted by every university, employer, government authority, professional body, regulatory authority, immigration authority, or other third party. Acceptance, recognition, or reliance upon a credential remains solely at the discretion of the relevant third party and may be subject to applicable laws, regulations, policies, standards, or independent verification requirements.

Gradify may modify, improve, update, replace, suspend, restrict, or discontinue any feature, functionality, component, integration, or portion of the Service from time to time. Where reasonably practicable, Gradify will provide prior notice of material changes that substantially affect the Service. Certain functionality may depend upon third-party infrastructure, blockchain networks, hosting providers, payment processors, communication services, or other external systems that are outside Gradify's direct control.

Accounts & Security

Where access to any portion of the Service requires an account, you are responsible for providing accurate, complete, and up-to-date registration information and for maintaining the confidentiality and security of your account credentials, passwords, authentication mechanisms, access tokens, and other security credentials.

You are responsible for all activities conducted through your account, whether authorized by you or not, except to the extent that such activity results directly from Gradify's proven failure to maintain reasonable security measures. You must immediately notify Gradify if you become aware of any unauthorized access, suspected compromise, loss of credentials, security incident, or other unauthorized use of your account.

You must not share account credentials with unauthorized persons or permit any third party to access your account except where such access is expressly permitted by the applicable Service. Institutional account administrators are responsible for appropriately managing authorized users, assigning permissions, and promptly revoking access for individuals who are no longer authorized.

Gradify may suspend, restrict, or disable an account, credential, API key, or other access mechanism where we reasonably believe that the account has been compromised, is being used in violation of these Terms, poses a security or operational risk, or is subject to unauthorized or unlawful activity.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms, applicable laws, regulations, governmental requirements, and generally accepted standards of responsible use. Without limiting the foregoing, you agree that you shall not:

  • Submit, upload, issue, publish, or distribute false, forged, fabricated, fraudulent, misleading, or unauthorized credential information.
  • Impersonate any person, institution, university, government authority, employer, organization, or other entity, or falsely represent an affiliation, authorization, or relationship.
  • Use the Service for any unlawful, fraudulent, deceptive, defamatory, abusive, discriminatory, or otherwise prohibited purpose.
  • Violate or attempt to violate any applicable law or regulation, including applicable provisions of the Information Technology Act, 2000, data protection and privacy laws, intellectual property laws, and other applicable Indian laws and regulations.
  • Attempt to gain unauthorized access to the Service, another user's account, Gradify's systems, servers, databases, APIs, networks, or related infrastructure.
  • Probe, scan, test, circumvent, disable, interfere with, or compromise the security, authentication, access controls, or technical safeguards of the Service.
  • Reverse engineer, decompile, disassemble, reproduce, modify, copy, create derivative works from, or otherwise attempt to obtain the source code or underlying technical architecture of the Service, except to the extent expressly permitted by applicable law.
  • Upload, transmit, distribute, or introduce malware, viruses, ransomware, malicious code, harmful scripts, or other technologies designed to disrupt, damage, or gain unauthorized access to systems.
  • Scrape, harvest, extract, copy, systematically collect, or commercially exploit information available through the Service without prior written authorization from Gradify.
  • Use verification functionality to conduct unauthorized surveillance, profiling, harassment, discrimination, fraud, or any activity that violates the rights or privacy of another person.
  • Attempt to manipulate, falsify, duplicate, tamper with, or interfere with blockchain records, verification results, QR codes, credential identifiers, or other integrity mechanisms provided through the Service.
  • Use the Service in a manner that could reasonably be expected to damage Gradify's reputation, infrastructure, customers, users, or third-party service providers.
  • Use automated systems or processes to access the Service in a manner that imposes an unreasonable or excessive load on Gradify's infrastructure.

Gradify reserves the right to investigate suspected violations and may take appropriate action, including suspension, restriction, removal of content, termination of accounts, preservation of relevant information, and referral to competent authorities where required or permitted by law.

Blockchain & Wallets

Certain features of the Service rely upon public blockchain networks, distributed ledger technologies, smart contracts, digital wallets, and third-party blockchain infrastructure that Gradify does not own, operate, or control. By using such features, you expressly acknowledge and accept the inherent technical, operational, and economic risks associated with blockchain technology.

  • Information or transaction data recorded on a public blockchain may be immutable, publicly accessible, and incapable of being altered, corrected, or deleted by Gradify.
  • Blockchain transactions may require network fees, transaction fees, validator fees, or other charges imposed by the relevant blockchain network, and such fees are generally outside Gradify's control.
  • Transactions may be delayed, rejected, reversed before finality, fail, or remain pending due to network congestion, validator activity, protocol changes, technical failures, insufficient network resources, or other circumstances beyond Gradify's reasonable control.
  • Blockchain networks may undergo upgrades, forks, protocol modifications, governance decisions, outages, attacks, or other changes that may affect the availability, functionality, compatibility, or integrity of blockchain-related features.
  • Gradify does not guarantee uninterrupted availability, transaction finality, permanent availability, or continued compatibility with any particular blockchain network.
  • You are solely responsible for safeguarding your digital wallet, private keys, seed phrases, recovery phrases, passwords, authentication credentials, and other security information. Gradify cannot recover, reset, replace, or reconstruct lost or compromised private keys.
  • Gradify does not take custody of private keys unless expressly stated in a separate written agreement or applicable Service documentation.

You acknowledge that blockchain technology involves risks that may not be reasonably foreseeable and that Gradify shall not be responsible for losses arising solely from the operation, failure, congestion, modification, interruption, or unavailability of a third-party blockchain network.

Fees & Payment

Fees applicable to paid plans, subscriptions, credential issuance, verification services, implementation, enterprise services, or other paid functionality are specified on ourpricing page, applicable order form, quotation, proposal, invoice, service agreement, or other written commercial arrangement between Gradify and the customer.

Unless expressly stated otherwise, all fees are exclusive of applicable taxes, duties, levies, charges, including Goods and Services Tax (GST), and other governmental assessments. The customer shall be responsible for payment of all applicable taxes and statutory charges associated with its use or purchase of the Service, except taxes imposed directly on Gradify's income.

Unless otherwise expressly agreed in writing or required by applicable law, fees paid or payable for the Service are non-refundable, including where the customer voluntarily discontinues use of the Service before the end of an applicable subscription or service period.

Gradify may revise its pricing, plans, usage limits, or commercial terms from time to time. Where a price change materially affects an existing subscription or contractual arrangement, Gradify will provide reasonable prior notice where required. Unless otherwise agreed in writing, revised pricing shall apply upon renewal or commencement of the applicable subsequent billing period and shall not retroactively alter fees already paid.

If any payment remains overdue, Gradify may, subject to applicable law and the terms of the relevant agreement, suspend or restrict access to paid features until outstanding amounts have been settled.

Intellectual Property

The Service and all associated software, source and object code, architecture, algorithms, interfaces, designs, layouts, graphics, logos, trademarks, service marks, documentation, databases, workflows, methodologies, technologies, and other materials made available by or on behalf of Gradify are and shall remain the exclusive property of Gradify Labs LLP or its applicable licensors and are protected by applicable intellectual property and other laws.

Subject to your continued compliance with these Terms and payment of all applicable fees, Gradify grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right and licence to access and use the Service solely for its intended purposes and in accordance with these Terms. No ownership rights in the Service or any underlying intellectual property are transferred to you by virtue of your use of the Service.

You retain ownership of information, documents, credentials, data, and other materials lawfully submitted or uploaded by you through the Service ("User Content"). You grant Gradify a limited, worldwide, non-exclusive licence to host, process, reproduce, transmit, store, display, and otherwise use such User Content solely to the extent reasonably necessary to provide, maintain, secure, improve, and support the Service and to comply with applicable legal obligations.

You represent and warrant that you have all rights, permissions, consents, and lawful authority necessary to submit User Content to the Service and to grant the foregoing rights. You shall not upload or transmit content that infringes or misappropriates the intellectual property, privacy, confidentiality, or other rights of any third party.

Disclaimers & Liability

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, except where such warranties cannot lawfully be excluded.

Without limiting the foregoing, Gradify does not warrant or guarantee that the Service will be uninterrupted, continuously available, completely secure, error-free, accurate, free from vulnerabilities, or compatible with every device, browser, blockchain network, third-party system, or external service. Gradify does not warrant that defects will always be corrected or that the Service will satisfy every particular business, institutional, academic, regulatory, or commercial requirement.

Gradify shall not be responsible for the accuracy, authenticity, legality, completeness, or correctness of credentials or other information supplied by an issuing institution, organization, user, or third party. Gradify is a technology provider and does not independently certify the educational, professional, legal, or substantive validity of credentials.

To the maximum extent permitted by law, Gradify, its partners, affiliates, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, exemplary, punitive, consequential, or similar damages, including loss of profits, revenue, business opportunities, reputation, goodwill, anticipated savings, data, or business interruption, arising out of or relating to your use of or inability to use the Service.

To the maximum extent permitted by applicable law, Gradify's total aggregate liability arising out of or relating to the Service or these Terms, whether in contract, tort, negligence, statute, or otherwise, shall not exceed the total fees actually paid by you to Gradify for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Gradify Labs LLP, its affiliates, officers, employees, representatives, contractors, and service providers from and against claims, losses, liabilities, damages, penalties, costs, and reasonable legal expenses arising from your unlawful use of the Service, violation of these Terms, infringement of third-party rights, unauthorized credential issuance, or User Content submitted through your account.

Nothing in these Terms shall exclude or limit liability to the extent such liability cannot lawfully be excluded or limited under applicable law.

Termination

You may discontinue your use of the Service at any time, subject to any applicable contractual, subscription, payment, or other obligations agreed between you and Gradify. Where the Service is provided under a separate institutional or commercial agreement, termination shall additionally be governed by the terms of that agreement.

Gradify may suspend, restrict, or terminate your access to all or any portion of the Service, with or without prior notice where reasonably necessary, if you materially breach these Terms, fail to make required payments, engage in fraudulent or unlawful conduct, create a security or operational risk, misuse the Service, or where suspension or termination is required by applicable law, regulation, court order, or governmental authority.

Where reasonably practicable, Gradify may provide notice and an opportunity to remedy a curable breach before termination. However, Gradify may take immediate action where it reasonably determines that continued access could cause material harm to Gradify, its users, customers, infrastructure, third parties, or the integrity of the Service.

Upon termination, your right to access and use the affected Service shall cease. Termination shall not relieve either party of obligations or liabilities accrued prior to termination, including payment obligations.

Provisions that by their nature are intended to survive termination, including intellectual property, confidentiality, disclaimers, indemnification, limitation of liability, governing law, dispute resolution, and other accrued rights and obligations, shall continue in full force and effect.

Credentials or records that have already been recorded on a public blockchain may remain permanently accessible and immutable after termination and cannot necessarily be deleted, modified, or removed by Gradify.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict-of-law principles that would require the application of the laws of another jurisdiction.

The parties shall first attempt in good faith to resolve any dispute, controversy, claim, or disagreement arising out of or relating to these Terms or the Service through mutual consultation and amicable negotiations. Either party may provide written notice describing the nature of the dispute and the relief sought.

If the dispute cannot be resolved amicably within a reasonable period following such notice, the dispute shall, subject to applicable law, be referred to arbitration by a sole arbitrator mutually appointed by the parties in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

The seat and venue of arbitration shall be Udaipur, Rajasthan, India. The arbitration proceedings shall be conducted in the English language. The arbitral award shall be final and binding upon the parties, subject to applicable law.

Subject to the arbitration provision above and to the extent permitted by applicable law, the courts at Udaipur, Rajasthan, India shall have exclusive jurisdiction over matters arising out of or relating to these Terms, including applications for interim or injunctive relief and enforcement of any arbitral award.

Changes to These Terms

Gradify reserves the right to amend, modify, supplement, or replace these Terms from time to time to reflect changes in the Service, technology, business practices, applicable laws, regulatory requirements, security standards, or other operational considerations.

When changes are made, Gradify will update the "Last updated" date displayed on this page. Where reasonably practicable and where required by applicable law, material changes may also be communicated by email, account notification, or a prominent notice on the Service.

Unless otherwise specified, revised Terms shall become effective upon publication or on the effective date stated in the updated Terms. Your continued access to or use of the Service after the effective date of the revised Terms constitutes your acknowledgment and acceptance of the updated Terms, to the extent permitted by applicable law.

If you do not agree with a material modification, you must discontinue use of the affected Service. Where you have entered into a separate written agreement with Gradify, the amendment provisions contained in that agreement shall prevail to the extent of any inconsistency.

When submitting a grievance or complaint, you should provide sufficient information and supporting details to enable Gradify to understand and investigate the matter, including relevant account information, transaction references, credential identifiers, dates, and a description of the issue, where applicable.

Gradify will acknowledge and process grievances and complaints in accordance with applicable laws and regulations and will make reasonable efforts to investigate and resolve legitimate concerns within the applicable statutory or regulatory timeframes.

Nothing in this section prevents you from exercising any rights or remedies available to you under applicable law or from approaching a competent governmental, regulatory, judicial, or other lawful authority where such recourse is available.
